Structure and main characteristics of a company in Cyprus
The standard amount of the authorized capital is 1000 EUR (the minimum is 1 EUR). It is not necessary to pay the authorized capital.
A legal address in Cyprus is required (depending on the registration address, the company must pay an annual tax to the municipality in the amount of approximately 100-150 EUR).
A secretary is a mandatory position (must be resident of Cyprus). The position of secretary and director cannot be held by the same person. The secretary can be both a corporate (legal entity) and an individual.
The minimum number of directors is 1. There are no residency requirements, but in order for the company to become a tax resident of Cyprus, the director must be local. A director can be either an individual or a legal entity. For example, two directors are Cyprus residents, one director is a non-resident.

Corporate taxes in Cyprus
Cyprus offers one of the most favorable tax regimes among all EU countries:
- The corporate tax rate is 12.5%. This is one of the lowest rates in the European Union. Resident companies are taxed on their worldwide profits from any commercial activity.
- Tax on dividends – 0%. Both dividends received by a Cyprus company from a non-resident company and dividends paid by a Cypriot company to a non-resident are exempt from tax.
- The annual fee (Annual Levy) is a mandatory payment for all companies, which is 350 euros.
- VAT (Value Added Tax) - 19%.
- Capital Gains Tax - 20% . It is important to note that there is no tax on capital gains: (1) when selling shareholding in a foreign company; and (2) if income is derived from foreign securities.
Changes implemented in the Cyprus tax legislation, which became effective in 2023
Starting December 31, 2022, Cyprus has introduced a Withholding Tax in cases where dividends, interest or royalties are paid to recipient companies that are tax residents in countries listed in Annex I (Annex I) of the EU black list.
The list of countries included in the "black list" of the EU is listed below:

- Dividends – Dividends paid to recipient companies that are tax residents of blacklisted countries are taxed at a rate of 17%.
- Interest - Interest paid by a Cyprus tax resident company to a blacklisted tax resident company is taxed at a rate of 30%.

Accounting in Cyprus
The fiscal year in Cyprus is the same as the calendar year - that is, it starts from 01.01 and ends on 31.12 of the corresponding year.
The director of the Cyprus company is obliged to maintain proper accounting records (documents that can properly explain the transactions and confirm the financial status of the company), which are necessary for proper preparation and maintenance of financial accounts.
Registration of a company in Cyprus implies that all companies must prepare audited financial statements in accordance with International Financial Reporting Standards (IFRS). Such financial statements are attached to the annual report when submitted to government authorities.
Based on financial statements, the HE32 form is submitted to the Registry, and the IR4 form is submitted to the tax office (submission of these forms is mandatory).
The Annual General Meeting must be held annually, and the interval between meetings must not exceed 15 months.
The annual report is submitted within 42 days from the date of the annual general meeting. The company must submit a copy of the annual report to the Registrar of Companies.
A quarterly VAT report (if the company is registered as a VAT payer) is submitted no later than the 10th day of the month following the reporting period (quarter).

Companies registered in Cyprus must annually:
- prepare an audited financial report;
- on the basis of the annual audited report, submit a tax return to the relevant regulatory authorities of Cyprus; and
- submit a Company Return to the Registrar of Companies.

The tax residency certificate of a Cyprus company confirms the relevant status of a legal entity in this country and that the company is subject to taxation in Cyprus.
